Our Synchronized iTV Programming and Advertising System
The WinView iTV programming and advertising system benefits from issued and pending patents that cover the essential requirements to monetize the emerging two-screen TV market. WinView makes available IP licenses and revenue participation through the WinView Inside Affiliate Program with companies in the advertising value chain, including TV programmers, advertisers and networks. Our unique iTV system only requires cooperation and permission from our advertisers.
WinView’s founder Dave Lockton (retired January 2018 and part-time Chief Innovation Officer at the Company) is the inventor and pioneer of two-screen interactive television. Dave founded Interactive Network (IN), the first second-screen iTV company that invented and pioneered wireless, real-time second-screen TV. Ahead of its time, IN’s subscription service required dedicated hardware that wasn’t cost-effective despite high consumer acceptance.
As cell phones reached mass adoption by consumers, along with the expiration of Dave’s IN patents, he reassembled key IN team members, hired a CEO and formed AirPlay Network in May 2005. AirPlay was financed by Qualcomm, Sprint, Motorola, and RedPoint Ventures. AirPlay adapted the IN platform from a dedicated asymmetrical network (wireless, multicast with phone modem back path) to the cellular network system.
AirPlay was an engineering tour-de-force, reaching a footprint of 240 million phones on every major cellular network. As the challenges that the cellular infrastructure presented to providing a fun, engaging and profitable experience were encountered and met, AirPlay filed patents on them. When AirPlay’s investors put the company up for sale, Dave formed WinView to acquire all the AirPlay intellectual property, including many valuable patents, which cost $15 million to develop, for stock and notes.
Eric Vaughn, Interim President & CEO
On January 24, 2018, the Company announced the retirement of its founder & CEO Dave Lockton and appointed Eric Vaughn as Interim President & CEO. Mr. Vaughn is a highly qualified leader, game developer and software engineer who possesses expertise and in-depth knowledge of all facets of the online / video gaming and interactive TV industries with over 27 years of product development and management experience.
Prior to WinView, Eric served most recently as COO, Capital Games, of Electronic Arts, also known as EA Games, a developer, marketer, publisher and distributor of video games. Starting 14 years ago as Director of Platform Development at EA, Eric rose through the ranks, spending the last four years as COO of mobile game development at Capital Games. In addition to the Tiger Woods video game series, Eric’s most recent success was the Star Wars – Galaxy of Heroes franchise, a game he personally championed and is the most successful mobile game at EA, generating significant revenues in in-app purchases.
Previously, Eric was Senior Technical Director at AOL and Technical Director at WorldPlay / Imagination Network. Eric began his professional career as Software Engineer / Software Engineering Manager, R&D at Interactive Network where he was co-inventor on an interactive advertising patent. Eric has the perfect leadership background to design and build out the app and back-end systems that will be required to develop other sports verticals in addition to football on the WinView Games platform, as well as manage operations of the company.
Alan Pavlish, Chief Product Officer
Mr. Pavlish is a highly qualified veteran of the gaming industry with 30+ years of product development and management of iGaming (Daily Fantasy Sports, casino and poker) and Social/mobile gaming. Throughout his career, Alan has served in a wide range of senior leadership roles from startup/founder to executive and operations at a number of domestic and international companies. These roles and initiatives include Executive Advisor and Director of New Products at IGT / DoubleDown Interactive with oversight for planning of and development; co-founder/co-CEO of HollywoodPoker, growing the business into a top 5 online poker company; the launch of ClubHollywood online casino; co-founder and CEO of social games publisher Plaor; launched a free-to-play version of HollywoodPoker on mobile/Facebook, COO of Game Sports Network’s HotRoster daily fantasy sports app; and VP Development and CEO in Interplay Productions and Plaor, respectively.
Mark Richman, Chief Financial Officer
Mark Richman is an accomplished strategic and operational CFO with experience in a wide variety of industries including gaming, SaaS, IoT, medical device, distribution, telecom, and human capital/HR. As WinView’s CFO, Mr. Richman oversees all aspects of WinView’s financial planning and finance operarations. Mr. Richman has directly overseen the Finance & Accounting, Investor Relations, Manufacturing HR, Legal, FP&A, R&D, and Tax in both hyper-growth and turnaround environments. Most recently, he was CFO at Car Charging Group, with previous stints as CFO at Zentri, Goji Food Solutions, Digital Chocolate, Hoana Medical, Terayon Communications Systems & Covad Communications.
Yugesh Naicker, Chief Architect
Yugesh Naicker joins WinView as a proven technical leader with over 20 years of software development experience across large scale commerce, game-related and other online and cloud-based systems and services. As WinView’s Chief Architect, Mr. Naicker is responsible for all aspects of the WinView Games platform relative to its architectural plans and decisions. Mr. Naicker spent the majority of his career as Chief Architect at EA Games, where he was responsible for successfully designing and building a variety of systems spanning all aspects of EA’s digital and online business. These include commerce, game specific services and general online services. Most recently, Mr. Naicker was the Director of Engineering at Icontrol Networks, leading a team of engineers in building the next generation of IoT devices turning homes into smart homes.
David B. Lockton, Founder & Chief Innovation Officer, WinView Games
On January 24, 2018, the Company announced the retirement of its founder and CEO Dave Lockton, who has become WinView’s part-time Chief Innovation Officer. Previous to forming WinView, Mr. Lockton founded over seven pioneering consumer companies, three of which launched new billion dollar market segments. Moreover, Mr. Lockton founded the only three companies – Data Broadcasting (now IDC), Interactive Network, Inc., and AirPlay, Inc. – that created technical platforms to deliver synchronized, real-time two-screen information and entertainment services to consumers. Anthony Giombetti, Vice President Consumer Marketing
Anthony is a seasoned digital advertising, ecommerce and marketing executive with over 20 years of industry experience. As VP Consumer Marketing at WinView Games, he is responsible for driving consumer marketing, communications/PR and brand development strategy and initiatives related to user acquisition, retention, re-activation and corporate development. Previously, Anthony served as EVP of Consumer Direct at Risdall (www.risdall.com), a national digital advertising agency in Minneapolis, providing sales growth strategies and brand management for a variety of confidential consumer, tech and finance companies. Prior to Risdall, Anthony held the position of as Vice President of Marketing & Communications of Evine Live (www.evine.com – formerly ShopNBC www.shopnbc.com, owned by NBCUniversal and Comcast. In this marketing leadership role, he oversaw all facets of branding, naming, corporate communications, investor relations, public relations, vendor relations, strategic planning, and event management at the shopping network, as well as being part of the NBC Universal Marketing Council. In addition, he successfully spearheaded the launch of over 100 national brands on the shopping network, including Macy’s, Calvin Klein, Brooks Brothers, Effy, Suzanne Somers, and Sur La Table.
WinView’s mobile game sports app is built by European firm Ex Machina Group (www.exmachinagroup.tv) and is based on their fully developed Play2TV platform, which has been used by multiple hit reality and entertainment TV programs around the world with millions of simultaneous users. Ex Machina’s 15-person engineering team has served as WinView’s development resource since January, 2010.

Tom Rogers, Executive Chairman
Tom Rogers is Executive Chairman of WinView, Inc. Previously, Tom was Chairman, President and CEO of TiVo (Nasdaq: TiVo), Chairman and CEO of PRIMEDIA, Inc., President of NBC Cable and Executive Vice President of NBC.
With a career that has operated at the nexus of media, technology, advertising and public policy for more than two decades, Tom has a distinctive blend of operational leadership and corporate strategy experience across multiple facets of the industry. With vast experience in running traditional media and new media companies, and in creating innovative business models for companies facing new challenges, Tom has pioneered the way consumers watch and access home entertainment.
Prior to TiVo, Tom was Chairman and CEO of PRIMEDIA, Inc., which then was the leading targeted media company in the U.S. Prior to joining PRIMEDIA, Tom was President of NBC Cable and Executive Vice President of NBC, as well as NBC’s chief strategist. Among his many accomplishments, Tom founded CNBC, the nation’s leading business news channel and established the NBC/Microsoft cable channel and Internet joint venture, MSNBC.
Prior to NBC, Tom was Senior Counsel to the U.S. House of Representatives Telecommunications, Consumer Protection and Finance Subcommittee, where he was responsible for drafting a number of communications laws, including the Cable Act of 1984, as well as overseeing the FCC. Tom began his career as an attorney with a Wall Street law firm. Tom was inducted as a member of the Cable Center Cable Hall of Fame in May 2016 and the Broadcasting & Cable Hall of Fame in October 2013.
Hank Ratner, Co-Chairman
Hank Ratner is President & CEO of Independent Sports and Entertainment (ISE), an athlete management and sports-related investment company, which essentially replaces Relativity Sports. ISE has more than 300 Major League Baseball, National Football League and National Basketball Association players under management.
Hank has been a leading media, sports, entertainment and telecommunications executive throughout his career, serving in various executive positions including President and CEO of The Madison Square Garden Company, Vice Chairman of Cablevision Systems Corporation (NYSE: CVC) and Chief Operating Officer of AMC Networks (formerly Rainbow Media) (Nasdaq: AMCX).
An executive with Cablevision for nearly 30 years, Hank helped set corporate direction and oversee major business partnerships and negotiations. During his tenure, he helped guide Cablevision through several strategic transactions, including the spin-offs of The Madison Square Garden Company (MSG) in 2010 and AMC Networks in 2011, both now standalone, public companies.
From 2009 to 2014, Hank served as President and CEO of MSG where he directed the overall strategy and day-to-day operations of the business. His leadership included involvement with television networks, live events, professional sports teams and real estate development with the transformation of Madison Square Garden to maintain and enhance its status as the ‘World’s Most Famous Arena.”. Prior to Cablevision, Hank spent nearly 15 years at AMC Networks where he served in various positions, including COO and leading the executive management team directing AMC, IFC, Bravo, WE tv, 10 regional sports networks, two national sports networks, five News 12 regional news networks, Rainbow Advertising Sales Corporation, among others. Prior to working in the media, entertainment and telecommunications industries, Hank was an associate with the law firm of Sullivan & Cromwell.
Ratner is on the board of Madison Square Garden Networks (NYSE: MSGN) and was the driving force behind the creation of The Garden of Dreams Foundation, the nonprofit that works closely with all areas of MSG and MSG Networks to positively impact the lives of children facing obstacles.
Stephen W. Goodroe, former Vice President Global Customer Marketing of Procter & Gamble and CEO of Dunnhumby USA
Mr. Goodroe is a retired officer of The Procter & Gamble Company where he spent 30 years in senior management roles in the US, Europe, and Asia. After retiring from P&G as Vice President, Global Customer Marketing, he led the startup of Dunnhumby USA, one of the world’s leading customer science companies as its first CEO. He is an investor and advisor to Mu Sigma and has been involved in numerous startups. Steve’s wealth of management and marketing expertise can help guide the growth of WinView.

At Dunkin’, Mr. Costello has had global responsibility for advertising, marketing, consumer engagement, digital, mobile and social marketing, sports and entertainment marketing, research and product development, the culinary team and retail channel development for both Dunkin’ Donuts and Baskin-Robbins.
One of the early pioneers of omni-channel marketing, John has over 30 years of senior marketing/general management experience in consumer products, technology and retail, serving as EVP – Merchandising and Marketing at The Home Depot, Senior EVP of Sears, Chief Global Marketing Officer of Yahoo and President/COO of Nielsen Marketing Research U.S. John began his career at Procter & Gamble, where he held a number of senior marketing and brand management positions and served as Senior VP – Marketing and Sales at Pepsi-Cola, USA.
John was named one of the most influential people in marketing by Advertising Age, Adweek, ExecuRank and others, one of the Top 10 Merchants by DSN Retailing Today and was elected to the Retail Advertising Hall of Fame. He is a director of Fantex Inc., xAd Inc. and the Yellowstone Park Foundation, and past Chairman of both the Association of National Advertisers and The Advertising Council.
Mark Berner, Vice President Client Engineering, Tivo, Inc.
Mr. Berner is the engineering pioneer of two-screen real time interactive television. He was the EVP of engineering at AirPlay, Inc., from 2005-2009 and the Director of Software Engineering at Interactive Network, Inc., 1989-1995. Previous to AirPlay he served as head of technology for the AOL Games Business Division and Sr. Director of Engineering for EA.com, where he led the engineering team to build the multiplayer infrastructure of EA.com – which became the most popular gaming site on the Internet at that time. Presently he serves as the Vice President Client Engineering at Tivo.
Michael Wheeler, Managing Director, Westerly Partners, greater New York area.
Mr. Wheeler has been a successful media executive, new media investor and advisor over his lengthy and illustrious career. Michael is the former EVP at NBC New Media, COO at the Financial News Network and President of CNBC/Dow Jones Desktop Video. Wheeler launched one of the first streaming media content sites in partnership with Microsoft and Dow Jones. Content included audio, video and transcripts of market moving events and CEO/Analyst Conference Calls. Wheeler also spun off a division of Desktop Video to NextVenue, a company formed by Goldman Sachs, Morgan Stanley, Citi, Merrill Lynch and Marsh. NextVenue was sold 11 months later to iBeam for more than $350M.
David Hanlon, Founder and Managing Principal, Executive Hospitality Partners, Las Vegas, NV.
Executive Hospitality Partners is a Las Vegas based strategic advisory and asset management firm providing hospitality operating companies and owners of hospitality assets a resource to explore opportunities within their companies. Dave was CFO and Executive Vice President of Caesar’s World. As President of Harrah’s Atlantic City he ran both Harrah’s Marina and Trump Plaza—with a total of over 9,000 employees. In 1994, Dave became President and CEO of International Game Technology (IGT), the world’s leading manufacturer of microprocessor gaming machines. In 1996, as COO of Rio Suites Hotel Casino, Dave guided the Rio through a $300M expansion. Mr. Hanlon advises WinView on the U.S. gaming industry.

ÆGIS is a management consulting and marketing strategy firm specialized in creating, positioning, and levering brands. Clients range from development-stage to Fortune 100 companies within a broad scope of industries. Mr. Vartan, an investor, advises WinView on the social and mobile game industries as well as general management and business strategy.
C. Gordon Wade, Managing Partner and Director of Best Practices, Category Management Association
Mr. Wade was a founder of category management, and helped start TPG to improve collaboration between retailers and manufacturers. Gordon contributed to the Efficient Item Assortment process for ECR. Gordon has served manufacturer clients globally and facilitated category management projects with retailers and manufacturers on every continent. In 2005 he was asked by the Association of National Advertisers to develop best practice in marketing accountability. Gordon is an alumnus of P&G’s marketing department and a graduate of Harvard.
